Welcome to CogChamp, LLC (“CogChamp,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, products, and related services (collectively, the “Services”). By creating an account, placing an order, or otherwise using our Services, you agree to be bound by these Terms. If you do not agree, you may not use our Services.
1. Eligibility
You must be at least 18 years of age or the age of legal majority in your jurisdiction to use our Services. If you are under 18, you may use the Services only under the supervision of a parent or legal guardian who agrees to be bound by these Terms. You may not use the Services if you are a resident of any country under a U.S. government embargo or designated as a “terrorist-supporting” country, or if you appear on any U.S. government list of prohibited or restricted parties.
2. Account Registration and Security
To access most of our Services, you must create an online account using a valid email address and password. Passwords are stored only as hashed values for security purposes. Information associated with your account includes your design data, order history (including shipping and billing addresses, names, the last four digits and brand of your credit card), and any coupon codes you use.
By creating an account, you agree to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. CogChamp is not liable for any loss or damage resulting from your failure to safeguard your login information.
3. Acceptable Use
You may only use our Services for lawful purposes. You agree not to upload, transmit, or otherwise share any design or content that you do not have the right to use; that infringes on the intellectual property rights of others; that contains abusive, offensive, or illegal content; or that is intended for use in weapons, drug distribution, or any other unlawful activity. You may not interfere with the normal operation of our website or Services, or use CogChamp products for unauthorized purposes.
You are solely responsible for ensuring that your use of our Services complies with all applicable laws, regulations, and third-party rights. CogChamp reserves the right, at its sole discretion, to deny or revoke access to any user who violates these Terms or otherwise disrupts our operations or the experience of other users.
4. Design Ownership and Use
You retain full ownership and intellectual property rights in all designs you upload or share with CogChamp. CogChamp will not sell, share, or redistribute your designs to any third party without your explicit permission.
From time to time, we may request your consent to display your design (or images of it) on our website, social media, or promotional materials, or to quote your feedback publicly. Such uses will occur only with your prior written consent.
5. Manufacturing and Design Review
You may upload designs, view automated pricing, and order parts through our online platform. CogChamp's automated system is designed to allow orders only for parts that appear manufacturable; however, automated systems are not foolproof. If a part cannot be manufactured as submitted, CogChamp will contact you via email to request design changes or deny the order.
If you agree to the requested modifications, CogChamp will proceed with manufacturing and may offer adjustments, credits, or coupon codes at its discretion. If you do not respond within ten (10) business days or rescind your order following a manufacturability challenge, you will receive a full refund. If production has already begun on a part later determined to violate Section 3 (Acceptable Use), CogChamp may cancel the order without refund.
We strive to accurately represent our products online, but all images, descriptions, and media are for reference only and do not guarantee the exact characteristics of the final product.
6. Pricing and Payments
All prices are generated automatically by our pricing engine and may fluctuate based on material, labor, and operational costs. Prices may change at any time without notice but will not affect orders that have already been accepted or are in progress.
Payments are processed exclusively through Stripe, and CogChamp only accepts U.S.-issued credit cards with U.S. shipping addresses. You are responsible for reviewing your order charges and contacting support@cogchamp.org within thirty (30) days if you believe a billing error has occurred.
7. Shipping, Local Pickup, and Delivery
All orders are shipped by default, though local pickup may be available on a case-by-case basis. At this time, CogChamp ships only within the United States.
CogChamp is not responsible for shipping delays, loss, or damage caused by carriers or third parties. We are also not liable for delivery errors resulting from incorrect or incomplete shipping information provided by you at the time of purchase.
8. Cancellations, Returns, and Refunds
Orders cannot be cancelled once production has begun, which typically occurs within a few hours after order placement. Because most parts are custom, returns and refunds are handled on a case-by-case basis.
If you encounter any quality issues, you must contact support@cogchamp.org within ten (10) days of receiving your order. You must not return parts without first obtaining a Return Merchandise Authorization (RMA) number from CogChamp; unauthorized returns may be refused. Customers are generally responsible for return shipping costs. Support inquiries are typically answered within seventy-two (72) hours.
9. Product Use and Limitations
CogChamp warrants only that parts we manufacture will substantially conform to the design specifications within the limits of our manufacturing capabilities. We make no guarantees regarding the performance, safety, or suitability of any part for its intended use.
Our products are not certified or intended for use in safety-critical applications such as medical, automotive, or aerospace systems. Additionally, some materials used in our manufacturing process may not be RoHS-compliant.
10. Disclaimers and Limitation of Liability
Our engineering calculators and similar tools are provided solely for educational and reference purposes. CogChamp assumes no liability for errors, omissions, or outcomes resulting from their use.
All Services and products are provided “as is” and “as available.” CogChamp makes no representations or warranties of any kind regarding the availability, accuracy, or reliability of the Services or their results. We do not guarantee uninterrupted operation, error correction, or the absence of harmful components such as viruses or malware.
To the fullest extent permitted by law, CogChamp, its officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or goodwill, arising from or related to your use of the Services. Our total liability shall not exceed the amount you have paid to CogChamp during the twelve (12) months preceding the claim.
You agree to indemnify and hold harmless CogChamp, its affiliates, officers, directors, agents, partners, suppliers, and employees from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Services, violation of these Terms, infringement of third-party rights, or breach of any applicable laws.
11. Third-Party Links
Our website may contain links to third-party websites or services that are not owned or controlled by CogChamp. We are not responsible for the content, privacy practices, or policies of such third-party sites. Any dealings or transactions between you and third-party providers are solely your responsibility.
12. Modifications to Services
CogChamp may update, modify, suspend, or discontinue any part of the Services at any time without prior notice. These Terms apply to all new and existing features. We may correct errors or inaccuracies on the website at any time. Service interruptions may occur due to maintenance, technical issues, or factors beyond our control, and CogChamp shall not be held liable for such interruptions or resulting damages.
13. Modifications to Terms
We may update these Terms periodically. Any changes will take effect upon posting on our website or upon notice to you. Continued use of the Services after such changes constitutes acceptance of the revised Terms. If you do not agree to the modifications, you must stop using our Services. Prior versions may be made available upon request. If legally required, we will notify you in advance of the effective date of the modified Terms.
14. Test Services and Beta Access
From time to time, CogChamp may offer test or beta Services to select users on an invite-only basis. These offerings are provided “as is,” may contain errors, and may be modified or discontinued at any time.
15. Termination
CogChamp may suspend or terminate your account or access to the Services at any time, with or without notice, if we determine that you have violated these Terms or engaged in conduct harmful to our operations or reputation.
16. Governing Law
These Terms and your use of the Services are governed by the laws of the State of California, without regard to conflict of laws principles. Any invalid or unenforceable provision shall be interpreted to preserve its intent and enforceability.
Both parties waive the right to a jury trial and agree that any dispute shall be resolved on an individual basis, not as part of any class action or representative proceeding. These Terms constitute the entire agreement between you and CogChamp regarding the Services and supersede all prior communications or agreements related to the same subject matter.
